Terms & conditions

Last updated: 4 September 2026. These terms apply to all offers, agreements and services of ReachWRX, a trade name of [NAAM] S.L., CIF [B-XXXXXXXX], [ADDRESS], Spain. A working version pending final legal review.

1. Definitions

“We/us” means ReachWRX, a trade name of [NAAM] S.L., CIF [B-XXXXXXXX], [ADDRESS], Spain. “Client” means the business that enters into an agreement with us. “Service” means the AI phone agent that we build, host and manage, including the agreed number of call minutes, numbers and integrations.

2. Agreement and term

The agreement starts when the client signs the proposal. The minimum term is three months from go-live. After that the agreement continues for an indefinite period and can be cancelled by either party with one calendar month’s notice, in writing or by e-mail.

3. Prices and payment

  • All prices are exclusive of VAT.
  • The one-off setup fee is invoiced on signing and is payable immediately.
  • The monthly subscription fee is invoiced one month after go-live and monthly thereafter, by direct debit or card via our payment provider.
  • Call minutes above the plan allowance are invoiced monthly at the rate stated in the proposal (currently € 0.12 per minute).
  • We may adjust prices once a year with one month’s notice; the client may cancel with effect from the change date.
  • If payment fails, we may suspend the service after a written reminder and a further seven days.

4. Delivery and cooperation

We build the agent on the basis of the information the client provides during the intake. The client is responsible for the accuracy of that information (opening hours, prices, procedures) and for the lawfulness of the way the service is used, including informing its own callers. Indicative go-live times are five working days for Starter and Business without integrations, and two to three weeks where integrations are involved.

5. Availability and support

We aim for high availability but do not guarantee uninterrupted service; we depend on third-party telephony, AI and hosting providers. Support is available on working days; the response times agreed in the proposal apply. Planned maintenance is announced in advance where possible.

6. Liability

Our liability is limited to the fees paid by the client in the three months preceding the event, and in all cases to the amount paid out under our insurance. We are not liable for indirect or consequential loss, including lost revenue or missed calls. Nothing in these terms excludes liability for intent or gross negligence.

7. Intellectual property

We retain all rights to our software, prompts, configurations and documentation. The client receives a non-exclusive, non-transferable right of use for the term of the agreement. Content supplied by the client remains the client’s property.

8. Confidentiality and data protection

Both parties keep confidential information confidential. For personal data processed on behalf of the client, the data processing agreement applies; see our privacy policy.

9. Termination

Either party may terminate the agreement with immediate effect if the other party is in material breach and does not remedy it within 14 days of written notice, or in the event of insolvency. On termination we deactivate the agent and, on request, hand over the call data in a common format.

10. Applicable law

Spanish law applies. Disputes are submitted to the competent court in Alicante, Spain, unless mandatory law provides otherwise.
